WEBSITE DEVELOPMENT TERMS

These Website Development Terms apply to website design, website development, redesign, customization, configuration, and related digital services provided by Breeder Webpage Logo, a brand operated by Unique Chimp, LLC (“Breeder Webpage Logo,” “we,” “us,” or “our”).

By purchasing website services, paying a deposit or invoice, approving a proposal, or authorizing us to begin work, the customer (“Client,” “you,” or “your”) agrees to these Website Development Terms together with our Terms & Conditions, Refund & Cancellation Policy, Privacy Policy, Intellectual Property Policy, and any applicable proposal, invoice, statement of work, or written project agreement.

1. WEBSITE SERVICES

Website services may include, depending on the project:

  • Website design
  • Website development
  • Website redesign
  • Landing pages
  • E-commerce websites
  • Online stores
  • Mobile-responsive layouts
  • Theme customization
  • Custom layouts
  • Website graphics
  • Product-page setup
  • Contact forms
  • Payment integration
  • Domain configuration
  • Hosting configuration
  • Third-party application integration
  • Social-media integration
  • Basic search-engine configuration
  • Content placement
  • Website maintenance
  • Other agreed digital services

Only services specifically included in the applicable product description, proposal, invoice, statement of work, or written communication are included in the project.

2. PROJECT SCOPE

Before or during the beginning of a project, we may establish the project’s scope through a proposal, invoice, product description, written communication, or other project documentation.

The scope may identify matters such as:

  • Number of pages
  • Website functionality
  • Platform
  • Design requirements
  • Products to be added
  • Integrations
  • Forms
  • E-commerce functionality
  • Content requirements
  • Revisions
  • Estimated timeline
  • Deliverables
  • Pricing

Work outside the agreed scope is not automatically included in the original project price.

3. SCOPE CHANGES

Requests that materially change or expand the original project may be considered additional work.

Examples may include:

  • Adding pages
  • Adding substantial new functionality
  • Changing platforms
  • Rebuilding previously approved sections
  • Adding new integrations
  • Adding large numbers of products
  • Creating additional graphics
  • Rewriting substantial amounts of content
  • Changing the overall design direction after approval
  • Adding custom features not originally discussed

Additional work may require additional fees and may extend the project timeline.

We will make reasonable efforts to communicate material scope changes before performing substantial additional billable work.

4. DEPOSITS

Website projects may require a deposit before work begins.

Unless otherwise expressly stated in writing, a deposit reserves project resources and may compensate Breeder Webpage Logo for activities such as:

  • Initial consultation
  • Project planning
  • Research
  • Design preparation
  • Scheduling
  • Development
  • Configuration
  • Administrative work
  • Other work performed toward the project

The treatment of deposits in the event of cancellation is governed by the applicable proposal or agreement and our Refund & Cancellation Policy, subject to applicable law.

Payment of a deposit does not necessarily mean that the entire website project has been paid in full.

5. PAYMENT SCHEDULE

Depending on the project, payment may be structured as:

  • Full payment in advance
  • Initial deposit plus final payment
  • Milestone payments
  • Installment payments
  • Another written payment arrangement

The applicable invoice, proposal, checkout page, or written agreement will determine the payment schedule for a particular project.

Unless otherwise agreed in writing, all outstanding amounts must be paid before final transfer, unrestricted delivery of applicable final project files, or launch under the customer’s control.

6. LATE OR UNPAID BALANCES

If a required payment becomes overdue, Breeder Webpage Logo may pause work until the account is brought current.

A payment-related pause may affect the estimated completion date.

We may withhold final transfer or delivery of project materials for which payment remains outstanding to the extent permitted by applicable law and the applicable agreement.

7. CLIENT RESPONSIBILITIES

The Client is responsible for providing information and materials reasonably required to complete the project.

These may include:

  • Business name
  • Business information
  • Logo
  • Brand colors
  • Photographs
  • Product information
  • Product pricing
  • Product descriptions
  • Service descriptions
  • Contact information
  • Policies
  • Legal text
  • Social-media links
  • Domain information
  • Hosting information
  • Account access
  • Third-party credentials
  • Shipping information
  • Tax information
  • Payment-provider information
  • Other requested materials

Delays in providing required information may delay the project.

8. CLIENT CONTENT

Unless content creation is specifically included in the purchased service, the Client is responsible for providing final website content.

Breeder Webpage Logo may assist with formatting, organization, editing, or placement of Client-provided content when included in the project.

The Client remains responsible for reviewing the accuracy of information appearing on the website.

9. LEGAL POLICIES AND COMPLIANCE

Unless expressly included in a separate written agreement, Breeder Webpage Logo is not acting as the Client’s attorney, accountant, tax professional, privacy professional, accessibility consultant, or regulatory compliance advisor.

The Client is ultimately responsible for determining which laws, regulations, licenses, disclosures, policies, notices, consent mechanisms, accessibility requirements, tax settings, and other legal requirements apply to the Client’s business and website.

If Breeder Webpage Logo assists with implementing customer-provided legal text or standard website settings, that assistance does not constitute legal advice or a guarantee of legal compliance.

Clients should obtain qualified professional advice when necessary.

10. CLIENT-PROVIDED MATERIALS AND INTELLECTUAL PROPERTY

The Client represents that the Client owns or has appropriate authorization to use materials provided for the website.

These materials may include:

  • Logos
  • Photographs
  • Videos
  • Graphics
  • Illustrations
  • Music
  • Product images
  • Written content
  • Trademarks
  • Brand names
  • Testimonials
  • Customer reviews
  • Third-party content

Breeder Webpage Logo is not responsible for independently verifying ownership of every Client-provided asset.

We reserve the right to refuse material when we reasonably believe its use may violate applicable law or third-party rights.

Additional intellectual-property terms are contained in our Intellectual Property Policy.

11. THIRD-PARTY PLATFORMS

Websites may depend on third-party platforms or services.

Examples may include:

  • Shopify
  • WordPress
  • WooCommerce
  • Wix
  • Squarespace
  • Hosting companies
  • Domain registrars
  • Payment processors
  • Email providers
  • Analytics services
  • Social-media platforms
  • Scheduling systems
  • Shipping providers
  • Marketing platforms
  • Other technology providers

These companies operate independently from Breeder Webpage Logo.

Their products and services are subject to their own terms, pricing, policies, availability, and technical limitations.

12. THIRD-PARTY FEES

Unless specifically included in our written price, the Client is responsible for third-party costs associated with the website.

These may include:

  • Domain registration
  • Domain renewal
  • Website hosting
  • E-commerce subscriptions
  • Platform subscriptions
  • Premium themes
  • Plugins
  • Applications
  • Stock photography
  • Premium fonts
  • Email services
  • Payment-processing fees
  • Shipping applications
  • Marketing software
  • SSL or security products
  • Third-party APIs
  • Other recurring services

Breeder Webpage Logo does not control future price increases imposed by third-party providers.

13. THIRD-PARTY ACCOUNTS

Where practical, third-party accounts required for the Client’s ongoing business should be created in or transferred to the Client’s ownership or control.

The Client is responsible for maintaining:

  • Login credentials
  • Recovery information
  • Billing information
  • Subscription payments
  • Account security
  • Required renewals

after project handoff unless ongoing management is specifically included in a separate service agreement.

14. DOMAIN NAMES

If Breeder Webpage Logo assists with registering, connecting, transferring, or configuring a domain, the Client remains responsible for ensuring that domain registration and renewal fees are paid.

Domain availability cannot be guaranteed until registration is successfully completed.

Failure to renew a domain may result in loss of the domain or interruption of the website.

Breeder Webpage Logo is not responsible for a Client’s failure to maintain domain registration after control has been provided to the Client.

15. WEBSITE HOSTING

Hosting is not automatically included with website-development services unless expressly stated.

If hosting is provided by a third party, the hosting provider’s terms, uptime, limitations, pricing, and policies apply.

Breeder Webpage Logo does not guarantee uninterrupted availability of third-party hosting infrastructure.

16. WEBSITE PLATFORMS, THEMES, PLUGINS, AND APPS

Websites may use third-party:

  • Themes
  • Plugins
  • Applications
  • Libraries
  • APIs
  • Extensions
  • Integrations
  • Software packages

These tools may change, become incompatible, increase their prices, discontinue features, experience outages, or cease operating.

Breeder Webpage Logo does not control these third parties and cannot guarantee their indefinite availability or continued compatibility.

17. DESIGN PROCESS

Depending on the project, the website-design process may include:

  1. Gathering Client requirements;
  2. Receiving Client content and assets;
  3. Creating or configuring the initial website;
  4. Presenting pages or sections for review;
  5. Receiving Client feedback;
  6. Completing included revisions;
  7. Obtaining final approval;
  8. Completing applicable final payment; and
  9. Launching or transferring the website.

The exact workflow may vary depending on project requirements.

18. REVISIONS

Website-development projects may include a reasonable number or defined number of revisions as specified in the applicable proposal, product description, invoice, or agreement.

A revision generally means a reasonable modification to work already created within the existing project scope.

A revision does not necessarily include substantial new functionality or a complete change in project direction.

Requests exceeding the included revision scope may require additional payment.

19. CLIENT DELAYS

The project timeline depends on timely Client cooperation.

If the Client delays:

  • Providing content
  • Providing account access
  • Answering questions
  • Reviewing work
  • Providing revisions
  • Providing approvals
  • Making required payments

the estimated completion date may be extended.

Breeder Webpage Logo is not responsible for missed timelines caused by Client delays.

20. INACTIVE OR ABANDONED PROJECTS

If a Client stops responding for an extended period, we may place the project on inactive status.

Before treating a project as abandoned, we may make reasonable efforts to contact the Client using the contact information associated with the project.

Reactivating an inactive project may depend on our current availability and may require a revised timeline or additional fee if circumstances, requirements, software, or scope have materially changed.

Payments already earned for completed work, reserved resources, third-party costs, or other nonrecoverable project expenses are handled under the applicable agreement and Refund & Cancellation Policy.

21. PROJECT TIMELINES

Any project timeline is an estimate unless Breeder Webpage Logo expressly guarantees a particular deadline in writing.

Timelines may be affected by:

  • Client response times
  • Revision requests
  • Scope changes
  • Third-party services
  • Platform outages
  • Technical problems
  • Content delays
  • Payment delays
  • Supplier or service-provider issues
  • Other circumstances outside our reasonable control

We will make reasonable efforts to complete work according to the agreed schedule.

22. RUSH PROJECTS

If a Client requires completion by a specific date, that requirement must be communicated before or during project planning.

Rush service may require additional fees.

A deadline is guaranteed only when Breeder Webpage Logo expressly confirms the guarantee in writing.

23. WEBSITE REVIEW

Before final launch or transfer, the Client should carefully review the website.

The Client should verify, where applicable:

  • Business name
  • Contact information
  • Product information
  • Prices
  • Images
  • Links
  • Forms
  • Shipping settings
  • Tax settings
  • Payment settings
  • Policies
  • Product variations
  • Spelling
  • Grammar
  • Mobile presentation
  • Desktop presentation
  • Social-media links
  • Other business information

The Client is responsible for identifying corrections during the review process.

24. FINAL APPROVAL

When the Client communicates that the website is approved, ready, complete, ready to launch, or otherwise authorizes publication or transfer, we may treat that communication as final approval.

Final approval indicates that the Client has had a reasonable opportunity to review the website and accepts the project in its approved condition, subject to defects or rights that cannot legally be waived.

Changes requested after final approval may be considered maintenance or additional work.

25. WEBSITE LAUNCH

Website launch may depend on completion of requirements including:

  • Final approval
  • Final payment
  • Domain configuration
  • Hosting
  • Platform configuration
  • Payment-provider setup
  • Client account access
  • Required third-party services

Breeder Webpage Logo is not responsible for launch delays caused by missing Client requirements or third-party systems outside our reasonable control.

26. POST-LAUNCH CORRECTIONS

If a material issue caused directly by our implementation is discovered shortly after launch, contact us promptly so we can review it.

We will determine whether the issue:

  • Falls within the original project scope;
  • Results from our work;
  • Results from Client changes;
  • Results from a third-party service;
  • Results from a platform update; or
  • Constitutes new work.

Corrections to our own work that are reasonably necessary to deliver the agreed project will be handled appropriately.

New features or changes requested after approval may require additional fees.

27. MAINTENANCE

Website development does not automatically include indefinite maintenance.

Unless a maintenance plan or ongoing service is specifically purchased, the Client is responsible after handoff for matters such as:

  • Website updates
  • Product updates
  • Content changes
  • Platform updates
  • Plugin updates
  • Application updates
  • Security monitoring
  • Backups
  • Subscription renewals
  • Domain renewals
  • Hosting renewals
  • Compatibility issues

Ongoing maintenance may be available as a separate service.

28. CLIENT CHANGES AFTER DELIVERY

Breeder Webpage Logo is not responsible for problems introduced after delivery by:

  • The Client
  • Client employees
  • Another developer
  • Another designer
  • Another agency
  • Plugins
  • Applications
  • Platform changes
  • Custom code added by another party
  • Unauthorized access

If requested, we may offer troubleshooting or repair as additional paid work.

29. WEBSITE SECURITY

We may implement reasonable security-related configurations within the agreed scope.

However, no website, hosting platform, application, server, database, or internet-connected system can be guaranteed to be completely secure.

Unless ongoing security management is specifically included, the Client is responsible after handoff for maintaining appropriate:

  • Password security
  • Multi-factor authentication
  • Software updates
  • Backups
  • User permissions
  • Account security
  • Security monitoring

Breeder Webpage Logo does not guarantee that a website will never experience hacking, malware, unauthorized access, data loss, or other security incidents.

Nothing in this section limits responsibility that cannot legally be limited.

30. BACKUPS

Unless expressly included as an ongoing service, Breeder Webpage Logo does not guarantee indefinite website backups after project handoff.

Clients should ensure that appropriate backup systems are maintained for websites and business data.

Third-party hosting or platform backup services may be subject to separate terms.

31. SEARCH ENGINE OPTIMIZATION

Unless specifically included, comprehensive search-engine optimization (“SEO”) is not part of standard website-development services.

Even when SEO services are included, Breeder Webpage Logo does not guarantee:

  • A specific Google ranking
  • First-page placement
  • A specific search position
  • A specific amount of traffic
  • A specific number of leads
  • A specific level of revenue

Search engines independently determine rankings and may change their algorithms at any time.

32. BUSINESS RESULTS

Breeder Webpage Logo does not guarantee that a website will generate a specific amount of:

  • Revenue
  • Sales
  • Customers
  • Leads
  • Traffic
  • Engagement
  • Profit
  • Search visibility
  • Business growth

Website performance depends on numerous factors outside our control, including the Client’s products, pricing, marketing, reputation, competition, customer demand, and business operations.

33. WEBSITE ACCESSIBILITY

Breeder Webpage Logo may use generally accepted development practices when creating websites, but website-development services do not automatically include a formal accessibility audit, certification, remediation program, or legal compliance opinion unless specifically stated in writing.

Accessibility requirements can vary depending on the Client’s business, location, customers, website functionality, and applicable law.

Clients requiring specific accessibility standards or testing should communicate those requirements before the project begins and may wish to obtain appropriate professional or legal guidance.

34. PRIVACY AND DATA PROTECTION

Clients operating websites that collect personal information are responsible for determining their privacy and data-protection obligations.

This may include requirements involving:

  • Privacy policies
  • Cookies
  • Analytics
  • Advertising technologies
  • Marketing communications
  • Customer accounts
  • Payment information
  • Data retention
  • Consumer privacy requests
  • Consent mechanisms

Breeder Webpage Logo may assist with technical implementation when included in the project, but such assistance does not constitute legal advice or a guarantee of regulatory compliance.

35. E-COMMERCE SETTINGS

For e-commerce websites, the Client is responsible for reviewing and approving business settings such as:

  • Product prices
  • Taxes
  • Shipping rates
  • Product inventory
  • Refund rules
  • Discounts
  • Payment methods
  • Product descriptions
  • Product variants
  • Customer policies

Breeder Webpage Logo may configure these settings based on information provided by the Client.

The Client remains responsible for the accuracy and legality of the underlying business information.

36. PAYMENT PROCESSORS

Payment processing may be provided by independent third parties.

Breeder Webpage Logo does not control:

  • Merchant-account approval
  • Payment holds
  • Account suspensions
  • Chargebacks
  • Processing fees
  • Payout schedules
  • Identity verification
  • Fraud reviews
  • Processor policies

Clients are responsible for complying with their payment provider’s requirements.

37. THIRD-PARTY OUTAGES AND CHANGES

Breeder Webpage Logo is not responsible for interruptions or failures caused by third-party providers outside our reasonable control.

Examples include:

  • Hosting outages
  • Domain-provider outages
  • E-commerce platform outages
  • Payment-processor outages
  • Plugin failures
  • Application failures
  • API changes
  • Social-media changes
  • Search-engine changes
  • Third-party security incidents

We may offer assistance in resolving such problems, but that work may constitute additional services.

38. BROWSER AND DEVICE COMPATIBILITY

We make reasonable efforts to create websites that function on commonly used modern browsers and devices within the agreed project scope.

We cannot guarantee identical visual appearance or functionality across every:

  • Browser
  • Browser version
  • Operating system
  • Device
  • Screen size
  • Legacy technology

Support for unusual or outdated technology must be specifically agreed upon when required.

39. OWNERSHIP OF FINAL WEBSITE WORK

After the project has been completed and all amounts owed have been paid in full, the Client may receive the rights specified in the applicable project agreement to qualifying original website design or development work created specifically for the Client.

Any transfer applies only to intellectual property that Breeder Webpage Logo actually owns and has authority to transfer.

Third-party and pre-existing materials remain subject to their respective ownership and license terms.

40. PRE-EXISTING CODE AND REUSABLE COMPONENTS

Breeder Webpage Logo retains ownership of pre-existing and reusable materials that were not created exclusively for the Client.

These may include:

  • Code libraries
  • Components
  • Templates
  • Development tools
  • Utilities
  • Frameworks
  • Workflows
  • Design systems
  • General-purpose functions
  • Technical methods
  • Know-how

Where such materials are incorporated into a Client project, the Client receives the rights reasonably necessary to use the completed website as intended, subject to applicable licenses and agreements.

41. THIRD-PARTY CODE AND SOFTWARE

Third-party code, open-source software, themes, plugins, libraries, applications, fonts, and other third-party materials remain subject to their applicable licenses.

Payment to Breeder Webpage Logo does not transfer ownership of third-party software to the Client.

The Client must comply with applicable third-party license requirements.

42. SOURCE FILES AND DEVELOPMENT MATERIALS

Unless specifically included in the applicable agreement, internal working files, development environments, design drafts, development tools, proprietary templates, internal documentation, and other production materials are not automatically included as final deliverables.

Any source-code or editable-file delivery specifically included in a project will be identified through the applicable agreement or project scope.

43. PORTFOLIO USE

Unless otherwise agreed in writing or prohibited by applicable law, Breeder Webpage Logo may display completed, publicly launched, non-confidential website projects as examples of our work.

Examples may be displayed through:

  • Our website
  • Portfolio
  • Social media
  • Advertising
  • Marketing materials
  • Sales presentations

If a project is confidential or should not be publicly displayed, the Client should notify us in writing before launch or before providing confidential materials.

44. CLIENT CANCELLATION

If the Client cancels a website project after work has begun, amounts paid may be applied to work already performed, reserved project resources, nonrecoverable expenses, third-party costs, or other amounts properly earned under the project agreement.

Any refund eligibility will be determined according to:

  • The amount of work completed
  • Applicable project terms
  • Nonrecoverable costs
  • Our Refund & Cancellation Policy
  • Applicable law

Cancellation does not automatically entitle the Client to a full refund after services have been performed.

45. CANCELLATION BY BREEDER WEBPAGE LOGO

We may suspend or terminate a project for legitimate reasons, including:

  • Nonpayment
  • Fraud
  • Abusive or threatening conduct
  • Repeated failure to cooperate
  • Requests involving unlawful activity
  • Intellectual-property concerns
  • Material violation of our policies
  • Circumstances making completion impracticable

Any financial obligations or refunds following termination will be determined based on work performed, amounts paid, applicable agreements, and applicable law.

46. PROJECT TRANSFER

When the project is complete and applicable payment requirements have been satisfied, we may provide or transfer the agreed website access, ownership permissions, files, credentials, or other deliverables.

The Client is responsible for safeguarding credentials after transfer.

47. CREDENTIAL SECURITY

Clients should change temporary passwords and review account permissions after final handoff when appropriate.

The Client should not send sensitive passwords through insecure channels when a safer access-sharing method is available.

Breeder Webpage Logo will use Client credentials only as reasonably necessary to perform authorized services.

48. NO GUARANTEE OF CONTINUOUS OPERATION

We do not guarantee that a website will operate continuously without interruption for an indefinite period.

Websites depend on software, hosting, domains, internet infrastructure, third-party services, updates, security, and other systems that may change after delivery.

49. LIMITATION OF RESPONSIBILITY

To the fullest extent permitted by applicable law, Breeder Webpage Logo is not responsible for indirect, incidental, special, consequential, or similar damages arising from matters outside the agreed scope or circumstances beyond our reasonable control.

Any limitations of liability contained in our general Terms & Conditions also apply to website-development services.

Nothing in these Website Development Terms excludes liability or remedies that cannot legally be excluded or limited.

50. RELATIONSHIP TO OTHER POLICIES

These Website Development Terms should be read together with our:

  • Terms & Conditions
  • Privacy Policy
  • Refund & Cancellation Policy
  • Intellectual Property Policy
  • Custom Design & Print Policy, where applicable

If a signed or otherwise accepted project-specific agreement expressly conflicts with these Website Development Terms, the project-specific agreement will control for that project to the extent of the conflict.

51. CHANGES TO THESE TERMS

We may update these Website Development Terms from time to time.

The version applicable to a project will generally be the version in effect when the applicable service is purchased or agreement is entered into, unless the parties agree otherwise or applicable law requires otherwise.

52. RIGHTS PROVIDED BY LAW

Nothing in these Website Development Terms is intended to exclude, restrict, or waive rights or remedies that cannot legally be excluded, restricted, or waived.

Applicable law will control where required.
